SmartCard Marketing Systems builds payments technology for banks, telecoms and enterprise customers: a cloud-based EMV host platform, so an issuer can move to chip cards without building the host itself. The market was moving fast. Global non-cash transactions reached 366 billion in 2013, up 10% on the year before, and many banks were still at the planning stage of their EMV migration, held back by budget.

Alongside the EMV host, SmartCard had built more: a coupon and incentive management platform, and a mobile wallet for alternative payments. The company needed capital to take the whole stack to market properly.

The structure stood in the way. The shares had to be restructured before the company could offer them directly to a broad audience of investors.

Deal Box ran its investment packaging process and restructured the shares so SmartCard could make a direct offering under Rule 506(c). The rule lets a company reach investors openly, provided every buyer is a verified accredited investor.
